Equipment Quality Assurance and Warranty Policy
1. Quality Assurance Commitment
Party B (Supplier) hereby guarantees the quality of the equipment provided to Party A (Customer) as follows:
1.1 Packaging Integrity: Party B guarantees that the outer packaging of the equipment delivered to Party A is intact and undamaged, meeting the standards for safe transportation, moisture resistance, and shock resistance.
1.2 Compliance and Consistency: The variety, specifications, and technical standards of the equipment strictly comply with the technical specifications signed by both parties and all criteria and requirements stipulated in this Contract.
1.3 Spare Parts Supply Guarantee: Party B commits to ensuring a continuous, long-term, and stable supply of relevant spare parts and consumables to Party A at preferential prices.
2. Warranty Period and Calculation
Standard Warranty Period: The standard warranty period shall be one (1) year (12 months) commencing from the date on which the equipment is installed, commissioned, and accepted as qualified.
3. Services Within the Warranty Period (Free of Charge)
During the commissioning and standard warranty period, for any equipment failures that are definitively attributable to Party B's responsibility:
3.1 Party B shall be responsible for providing free repair services.
3.2 Party B shall be responsible for replacing damaged or defective parts free of charge.
Note: Daily consumables and wear parts are excluded from the scope of this free warranty and replacement.
4. Services Outside the Warranty Period (Charged)
Upon the expiration of the one-year standard warranty period, if an equipment failure occurs, the policy is as follows:
4.1 Party B remains obligated to actively assist Party A with equipment repairs and technical support.
4.2 Services outside the warranty period constitute charged repairs, and the fees incurred shall be negotiated and determined separately by both parties in accordance with the principles of fairness and reasonableness.
5. Exclusions of Liability
During the warranty period, if it is determined that the equipment issues are caused by the following non-Party B reasons, they shall be excluded from Party B's liability. Party B shall assist in the repairs, but such services shall be charged repairs (fees to be negotiated by both parties):
5.1 Improper Maintenance: Equipment failures or damages resulting from Party A's failure to perform normal upkeep, daily maintenance, or periodic inspections in accordance with equipment regulations.
5.2 Third-Party Parts: Damages caused to the equipment due to Party A's unauthorized use of defective parts not provided by Party B, or other issues arising from the integration of third-party hardware/software.
5.3 Misoperation: Any technical problems of the equipment caused by Party A's personnel through misoperation, abnormal operation, or other reasons clearly not attributable to Party B.
5.4 Force Majeure: Equipment problems triggered by force majeure accidents or events such as fire, flood, earthquake, etc.
